Limited Liability Partnership in India(LLP)
Venturing into a Company of your own could also lead to unimaginable and risky consequences, so there is a need to see things from a different perspective. The LLP is a type of legal entity that was introduced in India as a Limited Liability Partnership Act 2008. This kind of firm is one in which all the partners have limited liability. It also provides an opportunity for those who want to benefit themselves by having the advantages of both ‘Company’ and ‘Partnership’, both in one firm.
Steps for LLP Address change
The following is the pROCedure that has to be taken into consideration for the address change. It is
generally of three types:
1. Within the Local Limits
a. Board Resolution - A board meeting has to be held and a secure consent is required from all the partners for the shifting pROCess regarding the shifting of the LLP
b. Authorization - Any of the designated partners is to file the application, for the change of the address of the registered addresses. This has to be done in accordance with the registrar.
c. Filing - Intimate the ROC for a change of the Registered Address has to be made within 30 days of the decision by the partners of the LLP. They have to fill FORM 15 along with the prescribed fee to the registrar of LLP.
d. Incorporate Changes - The receipt of Address of the new registered office of the LLP is needed to be incorporated on all items. For example be it of stationery, letterhead, Invoices signboards, etc.
2. Of one ROC to another within the same state
a. Board Resolution - A board meeting has to be held and a secure consent is required from all the partners for the shifting pROCess regarding the shifting of the LLP. This is under the authority of another ROC within the same state.
b. Authorization- Any of the designated partners is to file the application, for the change of the address of the registered addresses. This has to be done in accordance with the registrar.
c. Filing - Intimate the ROC for a change of the Registered Address has to be made within 30 days of the decision by the partners of the LLP. They have to fill FORM 15 along with the prescribed fee to the registrar of LLP.
d. Incorporate Changes - The receipt of the Address of the new registered office of the LLP is needed to be incorporated on all items. For example be it of stationery, letterhead, Invoices signboards, etc.
3. From one state to another
a. Board Resolution - A board meeting has to be held and a secure consent is required from all the partners for the shifting pROCess regarding the shifting of the LLP. This is under the authority of another ROC within the same state.
b. Secure Consent - The partners shall prepare and finalize the list of secured creditors if any. Consent from all such creditors shall be obtained for the shifting of Registered office from one state to another.
c. Publish notice - There must be a notice which has to be shall be published in two newspapers regarding the change. One has to be in the English language newspaper and another one in the primary language of state where ROC is situated. This must be done within 21 days.
d. Filing - Intimate the ROC for a change of the Registered Address has to be made within 30 days of the decision by the partners of the LLP. They have to fill FORM 15 along with the prescribed fee to the registrar of LLP. In addition to it, the copy of the intimation to the ROC has to be submitted.
e. Incorporate Changes - The receipt of Address of the new registered office of the LLP is needed to be incorporated on all items. For example be it of stationery, letterhead, Invoices signboards, etc.
